The terms and conditions governing your use of the SipLane platform

Welcome to SipLane. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and SipLane, Inc. ("SipLane," "we," "us," or "our") governing your access to and use of the SipLane platform, including all associated services, software, APIs, documentation, and support (collectively, the "Service").
By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" or "your" shall refer to that entity.
If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.
SipLane provides a carrier-grade SIP (Session Initiation Protocol) switching platform designed for VoIP providers, carriers, and telecommunications service providers. The Service includes, but is not limited to, the following capabilities:
SipLane reserves the right to modify, update, or discontinue any feature or aspect of the Service at any time. We will provide reasonable advance notice of any material changes that may adversely affect your use of the Service.
To use the Service, you must create an account by providing accurate, complete, and current information as prompted by the registration process. You agree to update your account information promptly to keep it accurate and complete at all times.
You are responsible for maintaining the confidentiality of your account credentials, including your username, password, API keys, and any other authentication tokens. You agree to:
You are solely responsible for all activities that occur under your account, whether or not authorized by you. SipLane shall not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.
You are responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and industry standards, including but not limited to telecommunications regulations, data protection laws, and anti-spam legislation. You shall obtain and maintain all necessary licenses, permits, and authorizations required for your telecommunications operations.
SipLane is committed to providing a highly available and reliable platform. We target a service availability of 99.99% uptime on a monthly basis, measured across our core SIP switching infrastructure. This uptime target excludes scheduled maintenance windows, which will be communicated in advance.
SipLane performs routine maintenance to ensure optimal performance, security, and reliability. Scheduled maintenance windows will be communicated at least 48 hours in advance via email notification and through the administration panel. We will endeavor to schedule maintenance during off-peak hours to minimize impact on your operations.
If SipLane fails to meet the 99.99% monthly uptime target due to causes within our reasonable control, you may be eligible for service credits as outlined in your specific service agreement. Service credit requests must be submitted within 30 days of the incident. Service credits are your sole and exclusive remedy for any downtime or service interruption.

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. The following activities are strictly prohibited:
SipLane reserves the right to investigate suspected violations of this Acceptable Use Policy. If we determine, in our sole discretion, that a violation has occurred, we may take any action we deem appropriate, including but not limited to suspending or terminating your account, blocking specific traffic, reporting the activity to law enforcement, and pursuing legal remedies. We may take these actions without prior notice if we believe immediate action is necessary to protect the Service, our customers, or third parties.
You agree to pay all fees and charges associated with your use of the Service in accordance with the pricing plan selected during registration or as set forth in your service agreement. Fees may include, but are not limited to, monthly platform fees, per-minute usage charges, channel fees, DID charges, and fees for premium features or add-on services.
Invoices are issued on a monthly basis and are due and payable within thirty (30) days of the invoice date, unless otherwise specified in your service agreement. Payment may be made by credit card, ACH transfer, wire transfer, or other methods accepted by SipLane. All fees are stated and payable in United States Dollars (USD) unless otherwise agreed in writing.
If you operate under a prepaid billing model, you must maintain a sufficient account balance to cover your usage. SipLane reserves the right to suspend your Service if your account balance is insufficient to cover ongoing charges. You are responsible for monitoring your balance and adding funds as needed.
Late payments are subject to a finance charge of 1.5% per month (or the maximum rate permitted by law, whichever is lower) on the outstanding balance. SipLane reserves the right to suspend or terminate the Service for accounts with overdue balances exceeding 30 days. You shall be responsible for all costs of collection, including reasonable attorneys' fees.
All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for all taxes associated with your use of the Service, excluding taxes based on SipLane's net income. If SipLane is required to collect or remit taxes on your behalf, those amounts will be added to your invoice.
If you believe any charges are incorrect, you must notify SipLane in writing within sixty (60) days of the invoice date. Failure to dispute charges within this period constitutes acceptance of those charges. Undisputed portions of invoices must be paid by the due date regardless of any pending disputes.
The Service, including all software, algorithms, user interfaces, designs, documentation, APIs, and all related intellectual property, is and shall remain the exclusive property of SipLane and its licensors. These Terms do not grant you any ownership rights in the Service. Your right to use the Service is limited to the license expressly granted under these Terms.
Subject to your compliance with these Terms and payment of all applicable fees, SipLane grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes during the term of your subscription.
You shall not, and shall not permit any third party to:
You retain all ownership rights in the data you submit to or generate through the Service ("Customer Data"). You grant SipLane a limited license to use, process, and store Customer Data solely for the purpose of providing and improving the Service.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIPLANE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SIPLANE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SIPLANE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF SIPLANE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIPLANE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO SIPLANE DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE LIMITATIONS SET FORTH IN THIS SECTION SHALL APPLY EVEN IF YOUR REMEDIES UNDER THESE TERMS FAIL OF THEIR ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You may terminate your account and stop using the Service at any time by providing written notice to SipLane. Upon termination, you remain responsible for all fees and charges incurred through the date of termination, including any applicable early termination fees as specified in your service agreement.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in the State of Delaware, and you hereby consent to the personal jurisdiction and venue of such courts.
Before initiating any formal legal proceedings, the parties agree to attempt to resolve any dispute arising out of or relating to these Terms through good-faith negotiation. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue formal legal remedies as described in Section 10.1.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY IRREVOCABLY WAIVES ANY RIGHT TO A TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.
SipLane reserves the right to modify these Terms at any time. When we make material changes, we will notify you by email, through the administration panel, or by posting a prominent notice on our website at least thirty (30) days before the changes take effect. The "Last updated" date at the top of these Terms indicates when the most recent revisions were made.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and terminate your account before the changes take effect.
