Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") form a legally binding agreement between you ("Customer", "you") and TalkTelX ("TalkTelX", "we", "us") governing your access to and use of TalkTelX's managed VoIP services, including SIP trunking, DID number provisioning, inbound call routing, outbound calling, compliance tools, and cloud PBX ("Services").
By signing up for, accessing, or using the Services, you agree to be bound by these Terms. If you are accepting on behalf of a company or organisation, you represent that you have authority to bind that entity to these Terms.
2. Services
TalkTelX provides managed VoIP services as described in the service order or proposal agreed between the parties ("Service Order"). The specific services, pricing, and commitments applicable to your account are set out in your Service Order.
TalkTelX may update, modify, or discontinue features of the Services with reasonable notice. We will not materially reduce the core functionality of a contracted service during an active billing period without offering an alternative or a pro-rated refund.
3. Account Registration and Security
- You must provide accurate and complete information when registering for the Services
- You are responsible for maintaining the confidentiality of your account credentials
- You must notify us immediately at [email protected] if you suspect unauthorised access to your account
- You are responsible for all activity that occurs under your account
4. Acceptable Use
Your use of the Services is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree not to use the Services for any purpose that is unlawful, abusive, or in violation of applicable telecommunications regulations.
Prohibited uses include but are not limited to:
- Placing calls in violation of the Telephone Consumer Protection Act (TCPA) or FTC regulations
- Transmitting spam, unsolicited commercial messages, or robocall traffic without appropriate consent
- Caller ID spoofing or misrepresenting the origin of calls
- Attempting to overload, disrupt, or interfere with TalkTelX's network or services
- Reselling or sublicensing the Services without prior written consent from TalkTelX
5. Payment and Billing
Fees and invoicing
Fees are as agreed in your Service Order. Unless otherwise stated, services are billed monthly in advance for recurring charges, with usage-based charges (call minutes, additional DIDs) billed in arrears at the end of each billing period.
Payment terms
Invoices are due within 14 days of issue unless otherwise agreed. Late payments may result in suspension of Services. TalkTelX reserves the right to charge interest on overdue amounts at the rate of 1.5% per month.
Disputes
If you believe an invoice is incorrect, notify us within 30 days of the invoice date at [email protected]. Undisputed portions of invoices remain due.
6. Service Availability and SLA
TalkTelX targets 99.99% network uptime for voice services, measured on a monthly basis and excluding scheduled maintenance windows. Where a service-level credit applies, it will be applied to your next invoice upon request.
Planned maintenance will be communicated with at least 48 hours notice where possible. Emergency maintenance may be performed without advance notice where required to protect network integrity or security.
7. Number Portability and DID Numbers
TalkTelX will facilitate number porting from your existing carrier where technically feasible and subject to applicable carrier and regulatory requirements. Porting timelines are estimates and TalkTelX cannot guarantee specific completion dates.
DID numbers provisioned by TalkTelX are assigned to your account for use with our Services. Numbers remain the property of the underlying carrier and are subject to regulatory requirements. You may request porting of numbers to another provider upon account closure.
8. Compliance Obligations
You are solely responsible for ensuring your use of the Services complies with all applicable laws and regulations, including TCPA, the FTC's Telemarketing Sales Rule, state telemarketing laws, and any applicable foreign regulations.
TalkTelX provides compliance tools (DNC scrubbing, STIR/SHAKEN, audit logs) as features of the Services. Use of these tools does not transfer legal responsibility for compliance to TalkTelX. You remain responsible for your calling practices, consent management, and compliance programme.
9. Intellectual Property
TalkTelX retains all ownership of the Services, including underlying software, systems, and documentation. These Terms do not grant you any ownership rights — only a limited, non-exclusive, non-transferable licence to use the Services as described herein.
You retain ownership of your data, call records, and any content you transmit through the Services.
10. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services, and not to disclose it to third parties without prior written consent, except as required by law.
11. Limitation of Liability
To the maximum extent permitted by law, TalkTelX's total liability to you for any claims arising under or related to these Terms shall not exceed the fees paid by you to TalkTelX in the three months preceding the claim.
TalkTelX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, even if advised of the possibility of such damages.
These limitations apply regardless of the theory of liability and to the fullest extent permitted by applicable law.
12. Indemnification
You agree to indemnify and hold harmless TalkTelX and its officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Services, your violation of these Terms, or your violation of any applicable law or regulation.
13. Term and Termination
Term
These Terms apply from the date you first access the Services and continue until your account is closed or terminated.
Termination by you
You may terminate your account at any time by providing 30 days written notice to [email protected]. Fees already paid are non-refundable except as required by law.
Termination by TalkTelX
TalkTelX may suspend or terminate your account immediately if you breach these Terms, fail to pay invoices after 14 days notice, or use the Services in a way that endangers our network or other customers.
Effect of termination
Upon termination, your access to the Services will cease. You may request a copy of your data and number porting within 30 days of termination. After this period, TalkTelX may delete your account data.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding arbitration in San Francisco, California, unless both parties agree otherwise.
Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction.
15. Changes to These Terms
TalkTelX may update these Terms from time to time. We will notify active customers by email at least 14 days before material changes take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you may terminate your account before the effective date.
